Section 12(g) of the Securities Exchange Act of 1934

The provision that forces a US issuer to register a class of securities with the SEC once it has more than 10 million dollars in assets and 2,000 holders of record, or 500 who are not accredited. It is why widely distributed private securities can trigger public-company obligations.

506(b) / 506(c)

Rule 506(b) and Rule 506(c) of Regulation D

The two main Reg D routes: 506(b) bars general solicitation but allows up to 35 sophisticated non-accredited investors, while 506(c) permits public advertising if every purchaser is verified as accredited. The choice trades marketing freedom against verification burden.

A US investor allowed to buy private placements, defined chiefly as having over 1 million dollars in net worth excluding the primary home, income above 200,000 dollars (300,000 jointly), or certain professional licenses. Most US token private sales are restricted to accredited investors.

Accumulation

Markets & Trading

A phase where informed buyers quietly build positions in a flat, low-volume market. In Wyckoff terms, the base that forms before a sustained markup.

ADGM

Abu Dhabi Global Market

A financial free zone in Abu Dhabi with its own courts and regulator, the FSRA. It launched one of the first comprehensive digital asset frameworks and is a common base for crypto and RWA firms in the Gulf.

ADV

Markets & Trading

Average Daily Volume

The typical amount of an asset traded per day, usually measured over the last 30 or 90 days. It sets a ceiling on how much can be bought or sold without serious price impact.

AIF

Alternative Investment Fund

Any collective investment undertaking that raises capital from multiple investors to invest under a defined policy and is not a UCITS fund. The label matters because it drags the manager into AIFMD.

Airdrop

A free distribution of tokens to wallet addresses, used to reward users, spread ownership, or market a launch.

Airdrop farming

Culture & Community

Using a protocol primarily to qualify for an expected future token airdrop rather than for its product. Industrial-scale farming with many wallets pushed projects to build sybil filters.

Algorithmic stablecoin

DeFi & Applications

A stablecoin that tries to hold its peg through code-driven supply changes and incentives rather than full reserves. The model has a poor track record; Terra's UST collapse in 2022 is the defining failure.

Allocation

Tokenomics & Launch

The share of total token supply assigned to each group or purpose: team, investors, treasury, community, and so on. The allocation table is the starting point of any tokenomics review.

Allowlist

Culture & Community

The now-preferred term for a list of approved addresses with early or guaranteed access to a mint or sale. Identical in function to a whitelist.

Alpha

Culture & Community

Valuable, non-obvious information that gives a trading or investing edge, borrowed from the finance term for excess returns. Sharing alpha means sharing an actionable insight.

Alt season

Culture & Community

A phase of a bull market when capital rotates out of Bitcoin into smaller tokens, which briefly outperform. Traders watch Bitcoin dominance for signs it has started.

AML

Regulation & Institutions

Anti-Money Laundering

The body of laws and controls aimed at stopping criminals from disguising illicit funds as legitimate money. For crypto firms it means registration, transaction monitoring, and reporting suspicious activity.

AMM

Markets & Trading

Automated Market Maker

A smart contract that prices trades with a formula against a pooled reserve of tokens, so anyone can trade without a live counterparty on the other side. Uniswap popularized the constant product design.

Anon

Culture & Community

Anonymous

A pseudonymous community member whose real identity is unknown. Also used as a friendly form of address, as in 'good luck, anon.'

Ape

Markets & Trading

To buy into a token quickly and heavily without much research, usually driven by momentum or social buzz. Used as both a verb and a noun for the buyer.

API

Technology & Infrastructure

Application Programming Interface

A defined way for one piece of software to request data or actions from another. In crypto, exchanges, node providers, and data services all expose APIs.

Appchain

Technology & Infrastructure

Application-specific blockchain

A blockchain dedicated to a single application, giving the team full control over fees, throughput, and governance instead of sharing a general-purpose chain.

APR

Markets & Trading

Annual Percentage Rate

The simple yearly rate of interest or yield, without compounding.

APY

Markets & Trading

Annual Percentage Yield

The yearly return including the effect of compounding, so APY exceeds APR whenever earnings are reinvested. Quoted crypto APYs often assume reward rates that do not last.

Arbitrage

Markets & Trading

Profiting from price differences for the same asset across venues by buying where it is cheap and selling where it is expensive. Arbitrageurs are why prices stay roughly consistent across exchanges.

ATH

Markets & Trading

All-Time High

The highest price an asset has ever traded at. Breaking ATH matters psychologically because every holder is in profit and there is no overhead resistance from trapped sellers.

ATL

The lowest price an asset has ever traded at since listing.

ATS

Alternative Trading System

A US trading venue that matches buyers and sellers but is regulated more lightly than an exchange, operated by a registered broker-dealer. Security tokens in the US trade on ATS platforms rather than on crypto exchanges.

Attestation

Technology & Infrastructure

A signed statement from a trusted party verifying a fact, such as reserves held, an identity checked, or a computation performed correctly.

Attestation (ISAE 3000)

Regulation & Institutions

International Standard on Assurance Engagements 3000

The global standard for assurance engagements on subject matter other than historical financial statements, such as controls, reserves, or sustainability data. Crypto proof-of-reserves and custody controls reports are commonly issued under it, and an attestation is narrower than a full audit.

$NPKNIndependent attestations over treasury, reserves, and buyback execution are how a token issuer proves claims without waiting for the annual audit.

A professional security review of smart contract code by an outside firm. Necessary but not sufficient: audited protocols still get exploited.

Audit opinion

Regulation & Institutions

The independent auditor's formal conclusion on whether financial statements fairly present the company's position, ranging from unqualified (clean) through qualified and adverse to a disclaimer. Anything other than a clean opinion is a red flag for investors and lenders.

AUM

Regulation & Institutions

Assets Under Management

The total market value of assets a firm manages for clients. It is the standard size metric for asset managers and often the base on which their fees are charged.

BaFin

Bundesanstalt für Finanzdienstleistungsaufsicht (Federal Financial Supervisory Authority)

Germany's financial regulator, covering banks, securities, and insurance. It was an early mover in licensing crypto custody and treats many tokens as securities or other regulated instruments.

Bag

Markets & Trading

A holder's position in a token, often one that has fallen in value. A bagholder is someone stuck holding after the price collapses.

Base fee

Technology & Infrastructure

The protocol-set portion of an Ethereum gas fee that rises and falls with network demand and is burned rather than paid to validators.

Base/quote

Markets & Trading

In a trading pair, the base is the asset being bought or sold and the quote is the asset it is priced in. In ETH/USDC, ETH is the base and USDC is the quote.

Based rollup

Technology & Infrastructure

A rollup that uses the base layer's own validators to order its transactions instead of a separate sequencer, inheriting the base chain's decentralization.

Basis trade

Markets & Trading

Capturing the gap between an asset's spot price and its futures price, typically by buying spot and shorting the future. A staple delta-neutral strategy when futures premiums or funding run high.

Basket

DeFi & Applications

A group of assets bundled together so they can be bought, sold, or tracked as one unit. Baskets underlie index tokens and many structured products.

BCSC

Regulation & Institutions

British Columbia Securities Commission

The securities regulator for the province of British Columbia. It administers prospectus requirements, exemptions, and enforcement for BC-based issuers and investors.

Bear market

Culture & Community

An extended period of falling prices and pessimism, when trading activity and funding dry up. Crypto bear markets have historically followed every bull cycle.

Beneficial owner

Regulation & Institutions

The natural person who ultimately owns or controls a customer or asset, typically identified at a 25 percent ownership threshold. AML rules require looking through companies and trusts to find the humans behind them.

Beta

Culture & Community

An early version of a product released to a limited audience for testing before full launch. Crypto apps often gate betas behind allowlists.

BFT

Technology & Infrastructure

Byzantine Fault Tolerance

The property of a consensus system that keeps working correctly even if some participants fail or act maliciously, typically up to one third of them.

Bid/ask

Markets & Trading

The bid is the highest price buyers will currently pay; the ask, or offer, is the lowest price sellers will accept. Trades happen where the two meet.

Blob

Technology & Infrastructure

A large, low-cost data packet attached to an Ethereum block under EIP-4844, stored temporarily rather than forever. Blobs sharply cut rollup fees after the 2024 Dencun upgrade.

Block

Technology & Infrastructure

A batch of transactions bundled together, timestamped, and appended to the chain, each one cryptographically linked to the block before it.

Block time

Technology & Infrastructure

The average interval between new blocks: about 12 seconds on Ethereum, roughly 10 minutes on Bitcoin, and well under a second on some newer chains.

Blockchain

Technology & Infrastructure

A shared digital ledger maintained by a network of computers, where transactions are grouped into blocks and linked cryptographically so past records cannot be quietly altered.

Blue chip

Culture & Community

The most established, liquid, and trusted assets in a category, like BTC and ETH among coins or CryptoPunks among NFTs. Borrowed from stock market slang.

Blue sky laws

Regulation & Institutions

US state-level securities laws that operate alongside federal law. Even exempt federal offerings usually require state notice filings, and the name comes from schemes said to sell nothing more than patches of blue sky.

Bookbuilding

Tokenomics & Launch

Collecting indications of interest from investors to gauge demand and set an offering price before a sale.

$NPKNStandard in securities offerings and increasingly borrowed to price compliant security token sales.

Bribe

Tokenomics & Launch

A payment offered to ve-token voters to direct their gauge votes toward a particular pool. Now often rebranded as "incentives", with dedicated marketplaces brokering them.

Bridge

Technology & Infrastructure

Infrastructure that moves tokens or messages between blockchains. Historically one of crypto's biggest hack targets, with billions lost to bridge exploits.

Broker-dealer

Regulation & Institutions

A firm in the business of buying and selling securities for customers or its own account, requiring SEC registration and FINRA membership in the US. Placing, trading, or making markets in security tokens for others generally requires broker-dealer status.

Bug bounty

Technology & Infrastructure

A standing reward program that pays security researchers for responsibly disclosing vulnerabilities, with top payouts for critical bugs reaching into the millions.

Bull market

Culture & Community

An extended period of rising prices and optimism, when new users and capital flood in. Most crypto wealth, and most mistakes, are made in bull markets.

Bundler

Technology & Infrastructure

A node in account abstraction (ERC-4337) that packages users' operations into one transaction and submits it on-chain for a fee.

Burn

Tokenomics & Launch

Permanently destroying tokens by sending them to an address no one can spend from, reducing supply.

Burn-and-mint

Technology & Infrastructure

A bridging model where tokens are destroyed on the source chain and re-created natively on the destination, keeping total supply constant with no wrapped copies.

Buyback

Tokenomics & Launch

A project using revenue or treasury funds to purchase its own token on the open market, supporting the price or accumulating supply for later use.

Buyback-and-burn

A mechanism where protocol revenue buys tokens on the open market and then destroys them, returning value to holders through reduced supply. Functionally the crypto analog of a share repurchase.

The low-level machine instructions a smart contract compiles down to. It is what actually lives on-chain and executes inside the EVM.

Capitulation

The point where exhausted holders give up and sell at a loss en masse, often marking the final flush of a downtrend.

CASP

Crypto-Asset Service Provider

The EU's licensed category under MiCA for firms providing crypto services such as exchange, custody, and advice. A CASP license passports across all EU member states.

CCIP

Technology & Infrastructure

Cross-Chain Interoperability Protocol

Chainlink's protocol for sending tokens and messages between blockchains, built with layered risk controls and adopted by institutions for cross-chain transfers.

Customer Due Diligence

A position where you lock collateral in a smart contract and mint a stablecoin or take on debt against it. Repaying the debt unlocks the collateral; MakerDAO pioneered the model.

A company-operated exchange, such as Coinbase or Binance, that custodies user funds and matches trades on its own servers.

CFT

Countering the Financing of Terrorism

The counterpart to AML focused on blocking funds flowing to terrorist organizations. AML and CFT obligations almost always travel together in regulation and licensing.

CFTC

Commodity Futures Trading Commission

The US regulator of derivatives and commodity markets. It treats Bitcoin and Ether as commodities and polices fraud and manipulation in crypto derivatives.

Change of control

Regulation & Institutions

A contractual trigger that fires when ownership or control of a company shifts, common in debt documents, leases, and key contracts. Bondholders typically gain the right to put their bonds back to the issuer, often at 101 percent of face value.

Circuit breaker

An automatic halt that pauses a protocol when it detects abnormal conditions such as a price crash or a draining pool, buying time to prevent a larger loss.

Circulating supply

The number of tokens currently unlocked and available in the market. It is the supply figure used to compute market cap.

CIRO

Regulation & Institutions

Canadian Investment Regulatory Organization

Canada's national self-regulatory organization for investment dealers and marketplaces, formed in 2023 by merging IIROC and the MFDA. Crypto trading platforms that register as dealers in Canada typically become CIRO members.

CLARITY Act

Regulation & Institutions

Digital Asset Market Clarity Act

The leading US market-structure bill for digital assets, which passed the House in July 2025. It would divide jurisdiction between the SEC and CFTC, create a digital commodity category, and define when tokens on sufficiently decentralized networks stop being treated as securities; final shape depends on the Senate.

$NPKNBecause $NPKN is intentionally a security, its treatment is stable regardless of where the CLARITY Act draws the decentralization line.

Clawback

Regulation & Institutions

A protocol-level or contractual power to reclaim tokens already issued, used for error correction or compliance. The XRP Ledger and several security-token standards support it natively.

$NPKNPermissioned security tokens often need a clawback so an issuer can enforce a court order or reverse a mistaken transfer.

Cliff

Tokenomics & Launch

An initial period during which a vesting allocation releases nothing, followed by a first chunk unlocking all at once. A one-year cliff is standard for teams and early investors.

CLOB

Central Limit Order Book

The traditional exchange model where resting buy and sell orders are matched by price and then time priority. Most CEXs and newer high-performance DEXs use it.

Collateral

Assets locked up to secure a loan or position. If their value falls too far, the protocol sells them to repay the debt.

Collateral factor

The maximum share of an asset's value you are allowed to borrow against, set per asset by the protocol. A 75 percent factor on 1,000 dollars of collateral allows up to 750 dollars of borrowing.

Commodity

Regulation & Institutions

In US law, a broad category under the Commodity Exchange Act covering goods and most intangible assets that underlie derivatives. Bitcoin and Ether are treated as commodities, which places their derivatives under the CFTC while spot markets remain lightly regulated.

Confidential transaction

Technology & Infrastructure

A transaction that hides amounts or participants using cryptography while still letting the network verify it is valid. Used in privacy chains and encrypted-token designs.

Consensus

Technology & Infrastructure

The process by which a decentralized network of computers agrees on a single valid version of the ledger without a central referee.

Cost basis

Markets & Trading

The price originally paid for an asset, including fees. It determines both real PnL and the taxable gain when you sell.

Covenant

Regulation & Institutions

A binding promise in a loan or bond agreement about what the borrower will or will not do, such as maintaining financial ratios or limiting new debt. Breaching a covenant can trigger default even if payments are current.

Covered call

DeFi & Applications

Selling a call option against an asset you already hold to collect premium income, at the cost of capping your upside. A common strategy in DeFi options vaults.

CRA

Regulation & Institutions

Canada Revenue Agency

Canada's federal tax authority. It treats crypto as a commodity for tax purposes, so disposals trigger capital gains or business income depending on the facts.

$NPKNTax treatment drives structure: a share-for-share plan of arrangement can preserve rollover treatment for existing shareholders.

CSA

Canadian Securities Administrators

The umbrella body of Canada's provincial and territorial securities regulators. Canada has no single national regulator, so the CSA coordinates policy and harmonizes securities rules across the provinces and territories.

CUSIP

Committee on Uniform Securities Identification Procedures

The nine-character identifier for securities issued in the US and Canada, serving the same role domestically that ISINs serve globally. A CUSIP is usually embedded inside the corresponding ISIN.

Custody

Technology & Infrastructure

The safekeeping of crypto assets. Institutional custody means a regulated third party holds the keys under legal, insurance, and operational controls.

Custody rule

Regulation & Institutions

The SEC rule (Advisers Act Rule 206(4)-2) requiring registered investment advisers who hold client assets to keep them with a qualified custodian and undergo verification. How it applies to crypto has been a running battleground between the SEC and the industry.

Data Availability

The guarantee that the data behind transactions is actually published and retrievable, so anyone can verify state and exit a rollup. Dedicated DA layers like Celestia and EigenDA sell this as a service.

Danksharding

Technology & Infrastructure

Ethereum's planned scaling design that expands blob capacity so many rollups can post data to the base layer cheaply. Proto-danksharding was the first step.

DAO

Culture & Community

Decentralized Autonomous Organization

An internet-native organization whose rules are enforced by smart contracts and whose decisions are made by token-holder votes. DAOs typically manage a shared treasury.

DAO constitution

Culture & Community

A founding document that sets a DAO's values, rules, and limits on what governance can do. Arbitrum's constitution is a prominent example.

dApp

Technology & Infrastructure

Decentralized Application

An application whose core logic runs on smart contracts, typically with a web front end that connects to users' wallets.

Dark pool

Markets & Trading

A private trading venue where orders stay hidden until they execute, letting large blocks trade without tipping off the market.

Data Availability Sampling

A technique where nodes confirm block data was actually published by checking small random pieces, letting light clients trust availability without downloading everything.

Deflationary

Describes a token whose supply shrinks over time, usually because burns outpace any new issuance.

Degen

Culture & Community

Degenerate (shortened)

A self-applied label for traders who take high-risk bets on new tokens and protocols, often with little research. Used with more pride than shame.

Delegate

Culture & Community

A person or entity that token holders entrust with their voting power. Delegation keeps governance functioning without every holder voting on everything.

Delisting

Markets & Trading

Removal of a token from an exchange, usually for low volume, regulatory risk, or project failure. It typically drains liquidity and hits the price hard.

Delta-neutral

Markets & Trading

A position engineered so gains and losses from price movement cancel out, leaving profit to come from fees, funding, or spreads instead of direction.

Depeg

DeFi & Applications

When a stablecoin or other pegged asset trades meaningfully away from its target value. Brief depegs happen under market stress; a lasting one usually signals broken backing or lost confidence.

Depth

Markets & Trading

The volume of resting orders near the current price. Deep markets absorb large trades with little price movement; thin ones gap on modest size.

Derivative

DeFi & Applications

A contract whose value comes from an underlying asset rather than the asset itself. In crypto the biggest categories are perpetual futures and options.

DEX

Markets & Trading

Decentralized Exchange

An exchange that runs as smart contracts on a blockchain, letting users trade directly from their own wallets without handing assets to a custodian.

DEX aggregator

DeFi & Applications

Decentralized Exchange aggregator

A tool that routes a trade across many decentralized exchanges at once to find the best overall price. It splits orders among venues to reduce slippage.

Diamond hands

Culture & Community

Holding a position through heavy volatility and drawdowns without selling. Praised as conviction, mocked when it becomes a refusal to ever take profit.

Distribution

Markets & Trading

In the Wyckoff sense, the phase where large holders sell into strength near a top while price moves sideways, before a decline. The mirror image of accumulation.

DLT Pilot Regime

Regulation & Institutions

Distributed Ledger Technology Pilot Regime

An EU regulation, applicable since March 2023, that lets licensed operators run market infrastructure for tokenized securities under targeted exemptions from normal trading and settlement rules. It is the EU's sandbox for putting regulated securities on-chain.

DLT TSS

Distributed Ledger Technology Trading and Settlement System

Doxxed

Having one's real identity publicly known, either voluntarily (a doxxed team) or through exposure. Doxxed founders are often read as a credibility and accountability signal.

DPoS

Delegated Proof of Stake

A Proof of Stake variant where token holders vote for a small set of delegates who produce blocks on their behalf, trading decentralization for speed.

Drag-along

Regulation & Institutions

drag-along right

A shareholder agreement provision letting a majority that sells the company force minority holders to sell on the same terms. It prevents small holders from blocking a whole-company sale.

DYOR

Culture & Community

Do Your Own Research

A reminder to verify claims before investing rather than trusting influencers or anonymous posts. Often appended to recommendations as a disclaimer.

E-money

electronic money

Digitally stored monetary value issued against funds received, redeemable at par, and regulated in the EU under the E-Money Directive. Under MiCA, stablecoins that reference a single fiat currency are e-money tokens and may only be issued by credit institutions or licensed e-money institutions.

EBITDA

Earnings Before Interest, Taxes, Depreciation, and Amortization

A profit measure that strips out financing, tax, and non-cash charges to approximate core operating performance. It is the standard yardstick for pricing acquisitions and setting leverage covenants, though it is not a substitute for cash flow.

EDD

Enhanced Due Diligence

Deeper scrutiny applied to higher-risk customers, such as politically exposed persons or clients from high-risk jurisdictions, including source-of-funds and source-of-wealth checks. Large token purchases routinely trigger EDD.

EIP
